                SCHEDULE C "TURN-IN-CONDITION

Schedule C

SELECTLEASE MECHANICAL AND PHYSICAL CONDITION TURN-IN REQUIREMENTS

A: GENERAL

      1. All original equipment / components to be in sound and roadworthy operating condition:

                           • Free of mechanical defects

      Capable of passing published guidelines for used components by respective manufacturers

                    • Functioning as originally designed

                    • Free of fluid leaks (see section C)

                    • Free of excessive rust

                    • Maintenance records available upon request

      2. Each vehicle to be capable of passing a current Federal D.O.T. inspection and have a current Federal D.O.T. inspection decal.

3. Each unit to have a minimum 20 gallons of fuel (per tank) at time of turn-in.

B: MAJOR COMPONENTS

1. Engine

      All major components will be in sound and roadworthy operating condition, free of mechanical defects and shall function as originally designed. Engines will pass specific tests for horsepower, crankcase pressure, manifold pressure and fuel delivery specifications as follows:

-                 75% of Rated H.P.

                - Crankcase pressure (Blow by) not to exceed the following:

        o Detroit: 400 (using monometer gauge)

        o Cummins 1800 (using monometer gauge)

        o CAT: CFH equal to or less than 2X rated HP

                    • All electronic engine passwords to be reset to "00" at time of turn-in

                    • Engine to be free of fluid leaks (see section C)

      2. Transmission, Front Axle, Rear Axle to be in sound and roadworthy operating condition.

                    • Free of mechanical defects

      Capable of passing published guidelines for used components by respective manufacturers

                    • Free of fluid leaks (see section C)

C: FLUID LEAKS

                1. Leaks will be defined in three categories:

                • Class 1, Light: Slight dampness

                • Class 2, Medium: Accumulation of moisture and debris

                • Class 3, Heavy: Fluid running, dripping

                2. Class 3 leaks are not acceptable

                3. No fuel leaks allowed

D: CHASSIS

                1. Chassis, Frame, Suspension, Fifth Wheel and other attachments

                • Frame, springs, suspension components, and axle housings shall be

                - Free of cracks or breaks

                - Maintained per OEM recommended service standards

                • Paint shall be original or equivalent

                • Fifth Wheel shall be in proper operating condition

                2. Batteries to be capable of holding a charge and starting the engine

                3. Exhaust components to be free of leaks and in proper operating condition

E: CAB

                    1. Cab and Exterior Attachments

      No aggregate exterior damage in excess of $600 per unit on: Bumpers, Grille, Hood, Fairings, Side extenders, Sheet Metal

      Bumpers, Grille, Hood, Fairings, Side extenders to be securely attached to the vehicle as originally designed

                    • Minor dents, scratches, cracks paint deterioration are acceptable

      Sheet metal to be free of excessive rust and corrosion, minor corrosion around cab rivets and seams is acceptable

                    • All glass to meet / surpass federal D.O.T. inspection criteria

                    2. Interior / Upholstery

                    • Cab to be cleaned and all garbage and debris to be removed

      Cab interior and upholstery to be in good condition and free of unacceptable rips, tears, holes, burns larger than a credit card. One occurrence per panel or area allowed.

                    • Cab to be free of odors

                    • Cab heater, air conditioner, all gauges, lights, controls, and radios are to be:

                    - As originally installed

                    - In proper operating condition

      3. Decals to be professionally removed and the underlying surface in good condition, free of major cracks, peeling, damage

                    4. Paint shall be

                    • Original paint or equivalent

      Free of any major and unacceptable scratch and chips, that go through the paint, and are larger than a credit card. One occurrence per side of vehicle is allowed. Free of unacceptable lifting, peeling, flaking, blemishes, runs

F: TIRES / BRAKES

                    1. Tires

      All tires shall have 8/32 or better remaining tread depth and be free of cuts, cracks, and excessive alignment and mechanical wear

                    • Tire casings not to be older then model year unit was manufactured

                    • Steer tires to be matched original tread (no recaps)

                    • Drive tires to be:

                    - Matched tread design

                    - Original or first generation recaps only

                            • Trailer tires or re-grooved tires are not acceptable

2. Brakes

                    • Front brake lining to have 10/32 or greater remaining lining depth

                    • Rear brake lining to have 14/32 or greater remaining lining depth

                    • Brake drums shall be in good condition with no excessive wear

G: IF MILEMINDER GUARANTEED MAINTENANCE AGREEMENT IS IN EFFECT AT LEASE TERMINATION

      If upon the expiration of this Lease, a Maintenance Agreement between Lessee and Freightliner LLC is in effect, then the following items will not be the responsibility of the Lessee except when considered to be deficient due to Lessee abuse, negligence or accident damage.

* If tires were excluded in the MileMinder Guaranteed Maintenance Agreement, then the Lessee will

be responsible for tire turn in condition (see F. 1. Above).
